Ensuring you know all there is to know about working with Squark Design

1. Introduction

Welcome to Squark Design Ltd. By accessing our website and using our services, you agree to comply with and be bound by the following terms and conditions. If you do not agree with any part of these terms and conditions, please do not use our services.

2. Definitions

  • Client: The individual or entity engaging Squark Design Ltd. for services.
  • Services: The branding and consultancy services provided by Squark Design Ltd., including flexible monthly retainers, project and contract work, banked hours and monthly brand consultancy meetings.
  • Agreement: The contract between Squark Design Ltd. and the Client for the provision of services.

3. Services Provided

3.1 Flexible Monthly Retainers

The retainer fee is agreed upon at the start of the contract and is payable in GBP one month in advance. Services included in the retainer are specified in the agreement and may vary based on the client’s needs.

3.2 Project and Contract Work

Each project is priced individually based on the scope of work and is payable in GBP. A detailed proposal outlining the project scope, timeline and costs will be provided to the client for approval before work commences.

3.3 Banked Hours

Hours are purchased in advance and are billed in GBP. Banked hours can be used for any of our services and are valid for 6 months from the date of purchase. Any hours not used will not be refunded or carried over.

3.4 Monthly Brand Consultancy Meetings

Consultancy fees are agreed upon at the start of the contract and are payable in GBP. Meetings are scheduled monthly and can be conducted in person or virtually depending on location.

4. Payment Terms

All payments are to be made in GBP. Invoices are issued at the start of each month and are payable within 14 days. Late payments may incur additional charges, including interest at a rate of 1.5% per month on the outstanding balance.

5. Cancellation and Refund Policy

Clients may cancel their services with one month’s notice. Refunds for unused services will be considered on a case-by-case basis. If a project is canceled by the client after work has commenced, the client will be billed for the work completed up to the cancellation date.

6. Intellectual Property

All materials created by Squark Design Ltd. remain the intellectual property of Squark Design Ltd. until full payment is received. Upon full payment, intellectual property rights are transferred to the Client. Squark Design Ltd. reserves the right to use any work created for promotional purposes unless otherwise agreed in writing.

7. Confidentiality

Squark Design Ltd. agrees to keep all client information confidential and will not disclose any information to third parties without the client’s consent. This confidentiality obligation extends beyond the termination of the agreement.

8. Limitation of Liability

Squark Design Ltd. is not liable for any indirect, incidental, or consequential damages arising from the use of our services. Our total liability to the client for any claim arising out of or in connection with this agreement shall not exceed the total amount paid by the client for the services.

9. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of the United Kingdom. Any contract formed under these conditions of sale shall be construes and enforced in accordance with English Law in the Courts of England and Wales.

10. Amendments

Squark Design Ltd. reserves the right to amend these terms and conditions at any time. Clients will be notified of any changes, and continued use of our services will be deemed acceptance of the amended terms and conditions.
